2. User Agreement
By using our website or engaging our services, you represent and warrant that:
- You are at least 18 years of age.
- You are legally capable of entering into a binding contract.
- You agree to be bound by these Terms of Service.
- All information you provide to us is accurate, current, and complete.
3. Content Ownership
You retain full ownership of any content — including manuscripts, titles, synopses, and other materials — that you submit to us. By submitting content, you grant Page & Pixel a non-exclusive, limited license to review and work on your content solely for the purpose of fulfilling the agreed-upon services.
You represent and warrant that you own or have the necessary rights to all submitted content and that such content does not infringe upon the intellectual property rights of any third party.
4. Intellectual Property
All work products created by Page & Pixel on your behalf — including cover designs, formatted interiors, marketing materials, and other deliverables — remain the property of Page & Pixel until full payment for the relevant services has been received.
Upon receipt of full payment, ownership of the final deliverables transfers to you. Page & Pixel retains the right to display completed work in its portfolio unless otherwise agreed in writing.
5. Payment Terms
Fees for services are outlined in your individual service agreement or invoice. Payment terms are as follows:
- Payment is due in accordance with the schedule set forth in your service agreement.
- Refunds are issued only where expressly stated in your contract or where a service failure on our part has occurred.
- Disputed charges must be raised in writing within 14 days of the invoice date.
- Overdue payments may result in a suspension of services until the account is settled.
6. Limitation of Liability
To the fullest extent permitted by law, Page & Pixel shall not be liable for:
- Indirect, incidental, special, or consequential losses or damages.
- Loss of data, revenue, or profits arising from the use of our services.
- Disputes or claims arising from third-party services or platforms.
- Outcomes related to the commercial performance of your published work.
Our total liability for any claim arising from these Terms shall not exceed the total fees paid by you for the specific service giving rise to the claim.
7. Service Changes
Page & Pixel reserves the right to modify, suspend, or discontinue any service or feature at any time, with or without notice. We are not liable to you or any third party for any such modification, suspension, or discontinuation. We will make reasonable efforts to notify active clients of material changes that may affect ongoing engagements.
8. Termination
We reserve the right to suspend or terminate services, with or without notice, in the event of:
- A violation of these Terms of Service.
- Conduct that disrupts, harms, or threatens our team, clients, or operations.
- Non-payment or repeated late payment.
- Submission of infringing, fraudulent, or unlawful content.
Upon termination, any outstanding fees owed for work already completed remain due and payable.
9. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of the Republic of the Philippines, unless otherwise agreed in writing between the parties.
